    Commercial Shipping Offer - Terms and Conditions (the "Offer")

    Upon the Customer qualifying for and signing Canada Post form of commercial customer parcel services agreement ("Agreement") and provided the Customer meets the terms and conditions set out in this Offer, the Customer is eligible to receive up to a sixty percent (60%) discount off of retail rates based on Actual Fees paid under the Agreement during the Offer Period ("Discounts"). Terms of this Offer will be available between 00:01:00 EST February 26, 2024 to 23:59:00 EST on September 8, 2024.

    In this Offer, the following terms have the corresponding meanings set out below:

    "Actual Fees" means the total amount paid by the Customer and its Authorized Users (if any) in base prices for Eligible Items deposited in accordance with the Agreement during the Offer Period. Actual Fees are net of discounts and adjustments applied (if any), and do not include any of the following: prices for options, fuel or other surcharges, or any applicable duties or taxes.

    "Eligible Items" means PriorityTM, XpresspostTM, Expedited ParcelTM and Regular ParcelTM Items, as applicable, deposited by the Customer and its Authorized Users (if any) in accordance with the Agreement during the Offer Period.

    Discounts will vary based on annual volume or revenue commitments. Discounts will also vary based on service used, origin/destination, and weight of each Eligible Item.

    This Offer is exclusive to the Customer and valid only during the Offer Period for Eligible Items. For clarity, the Discounts do not apply to any other products or services other than those expressly included in the Offer.

    This Offer will expire on the Offer Expiry Date. See below for additional Offer terms and conditions.

    Offer Terms and Conditions

    1. The Customer will not be eligible for the Offer if the Agreement is terminated before the end of the Offer Period.
    2. This Offer does not apply to any product or service other than those described above.
    3. All Items must be properly prepared and deposited in accordance with these terms and conditions and the Agreement, which includes the Canada Post's Parcel Services Customer Guide ("Guide") and the documents referred to in it, each as amended from time to time by Canada Post. The Guide can be found at www.canadapost.ca/parcelservices (or any replacement website as designated by Canada Post). No Discounts will be available for Items that are: (i) transmitted and/or deposited outside the Offer Period; or (ii) not properly prepared and deposited under the Agreement.
    4. Orders created before or during the Offer Period that are deposited after the Offer Period will not be eligible for this Offer.
    5. This Offer applies exclusively to orders placed by the Customer and its Authorized Users (if any) under the Agreement through Electronic Shipping Tools (EST), a third-party shipping system approved by Canada Post, or Canada Post's Web Services, which are accessible on www.canadapost.ca.
    6. Customer is prohibited from reselling the Discounts to any other party without the prior written consent of Canada Post.
    7. The Customer is liable for any unauthorized use of the Offer. If Canada Post discovers any unauthorized use, the Customer will be required to repay the resulting Discounts amount(s) plus any other fees resulting from the unauthorized use. These fees will be determined by Canada Post at its sole discretion.
    8. Canada Post reserves the right at any time, and at its sole discretion, to review the Customer's account or shipments for compliance and to take such action as it deems appropriate, including without limitation invoicing the Customer for any Discounts amount(s) credited, if Canada Post believes there was a violation of any of these terms and conditions.
    9. Canada Post reserves the right, at its sole discretion, to cancel, terminate, modify, suspend, or otherwise amend all or part of this Offer at any time without prior notice.
    10. Capitalized terms used but not defined in this Offer have the corresponding meanings set out in the Agreement or Guide, as applicable.
    11. These Terms and Conditions and all disputes or other matters arising out of Customer's use of the promotional rates or use of the website located at canadapost.ca and all associated websites linked to canadapost.ca that are operated by Canada Post, its subsidiaries and/or affiliates are governed by and will be construed in accordance with the laws of the jurisdiction in which Customer is situated and the applicable laws of Canada, or if Customer is not situated within Canada, the laws of the Province of Ontario and the applicable laws of Canada, without regard to any choice or conflict of laws, rules or principles that will result in the application of the laws of any other jurisdiction. Customer acknowledges that these Terms and Conditions and the documents incorporated herein by reference form the entire agreement between Customer and Canada Post with respect to the Offer.
